2002 the following Directors of BP p.l.c. acquired the numbers of BP Ordinary 
shares shown opposite their names below @ £4.67 per share through participation 
in the BP ShareMatchUK Plan:-

     Mr R.F. Chase                  81 shares 
     Mr R.L. Olver                  81 shares

We have today been advised by Lord Browne of Madingley, a Director of BP p.l.c.
that he has acquired 5,968 BP Ordinary shares through the exercise on 4 
September 2002 of an option to purchase the shares @ £2.98 per share under the 
BP Group Savings-Related Share Option Scheme.
