* through participation in the BP Amoco UK Employee Share Scheme, the following
  Directors of BP Amoco Plc acquired a beneficial interest in the number of 
  BP Amoco Ordinary shares shown below on 3 July 2000 @ £6.18 per share:-

          Sir John Browne               485 shares
          Dr J.G.S. Buchanan            485 shares
          Mr R.F. Chase                 485 shares
          Mr R.L. Olver                 485 shares
          Mr B.K. Sanderson             485 shares

* in connection with his participation in the BP Amoco UK Employee Share        
 Scheme, Mr B.K. Sanderson purchased 485 BP Amoco Ordinary shares @£6.22 per
  share with a vesting date of 3 July 2000 through the BP Amoco Employee Share
  Ownership Trust.

* Mr R.F. Chase was granted an option over 3,388 BP Amoco Ordinary shares
  @ £4.98 per share, exercisable between 1st September 2005 and 28th February
  2006 under the BP Amoco Savings-Related Share Option Scheme.
