Director/ PDMR Shareholding
Rightster Group plc (AIM: RSTR), announces that on 12 November 2015, the Company was informed that, on 7 August 2015, Patrick Walker, the Company's CEO, had part of his shareholding dematerialised by a third party in order to procure that it was held in CREST. This process meant the transfer of 255,555 ordinary shares of 0.1p each in the capital of the Company ("Ordinary Shares") to Platform Securities Nominees Limited. Then, on 30 October 2015, the third party dematerialised his 2,738,154 Ordinary Shares (allotted to satisfy the Company's contractual obligations to him pursuant to the Acquisition Agreement entered into between the Company and the former shareholders of Base79 Limited on 8 Juy 2014) to Platform Securities Nominees Limited.
Following the transfers, Mr Walker's beneficial interest in the Company remains unchanged and he continues to be the beneficial owner of 2,993,709 Ordinary Shares, comprising 0.814% of the Company's issued share capital. A proportion of Mr Walker's shareholding, namely 2,738,154 Ordinary Shares (allotted to satisfy the Company's contractual obligations to him pursuant to the Acquisition Agreement entered into between the Company and the former shareholders of Base79 Limited on 8 Juy 2014) are subject to an orderly market arrangement between 12 November 2015 and 1 June 2016. As such any sale of those Ordinary Shares in that period can only be made with the consent of the Company's NOMAD (subject to customary carve-outs).
