Directors' Dealings

Breedon announces that Mr David Williams, a director of the Company, has exercised a put option over 1,073 participation shares which he holds in the Company's subsidiary Marwyn Materials Investments Limited which were issued in 2008 (the "Participation Shares").  Following Mr Williams' exercise of the above put option over 1,073 Participation Shares, it is expected that the Participation Shares will be exchanged for 7,998,503 ordinary shares of nil par value in the Company ("Ordinary Shares"). 

Following completion of the above exchange Mr Williams will not hold any further Participation Shares and, following the allotment, issue and admission of the new Ordinary Shares required to satisfy the above exchange, he will be interested in 21,710,636 Ordinary Shares, representing 2.03% of the Company's Total Voting Rights.

The Company has also received a notice exercising a put option held by Marwyn Management Partners LP ("Marwyn") over the 3,350 Participation Shares held by them.  It is expected that this will result in the allotment of 24,972,026 Ordinary Shares to Marwyn.

Following the exercises of the above referenced put options by Mr Williams and by Marwyn there are no further Participation Shares outstanding.

The Company will apply for 32,970,529 Ordinary Shares to be admitted to the London Stock Exchange for trading on AIM ("Admission").  It is expected that Admission will occur at 8.00am on 25 March 2015 and the Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.

Following the issue of the 32,970,529 Ordinary Shares referred to above, there will be 1,069,498,404 Ordinary Shares in issue. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
