Notification of transactions by Directors/ Persons Discharging Managerial Responsibilities (PDMR) and Persons Closely Associated with them (PCA)

The Company has been notified that, on 27 November 2024, Abicad Holding Limited (Abicad) a PCA of Amit Bhatia, Non-executive Chair of Breedon and a PDMR, had entered into option agreements with a market counterparty under which, if each option is fully exercised, would result in Abicad acquiring 1,500,000 existing ordinary shares of £0.01 each (Shares) in the Company (the Option Agreements).

Should any option(s) be exercised, the Shares acquired under the option(s) would be acquired by Abicad on various dates between 26 August 2025 and 1 December 2025.

The Company understands that these potential acquisitions of ordinary shares by Abicad, and any future acquisitions represent a continuation of Abicad's previously announced intention to make market purchases of shares in the Company over time.

Abicad currently holds 65,554,894 ordinary shares, equating to approximately 19.08 per cent. of the Company's total issued share capital (at today's date). If all of the Shares are acquired under the Option Agreements and Abicad does not dispose of any of its existing interests in ordinary shares, Abicad would have an aggregate interest in 67,054,894 ordinary shares, equating to approximately 19.51 per cent. of the Company's total issued share capital (at today's date).

This notification is made in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
