Annual Incentive Plan
On 24 October 2000, in accordance with the rules of the BPT Annual Incentive
Plan, The BPT Employee Benefits Trust transferred 11,272 ordinary shares of 5p
each in the Company to eligible participants of the scheme. 7,514 ordinary
shares relate to Basic Awards granted on 1 August 1997, and 3,757 ordinary
shares relate to Matching Awards which became exercisable on 1 August 2000,
being the end of the vesting period of three years.
Directors of the company who exercised their right to ordinary shares within
the above total were as follows:

N A Denby: 3,286
G R Butterworth 992
For the purpose of the award the price per share on exercise is 273.5p.
The BPT Employee Benefits Trust now holds a total of 311,055 ordinary shares,
representing 0.21 per cent of the Company's issued ordinary share capital.
The other interests of those directors named above, in the Company's share
capital remain unchanged.
