(the "Company"), has been designated by Brown & Williamson Holdings, Inc. ("B&W"), a wholly owned indirect subsidiary of the Company, as its nominee to join the Board of Reynolds American Inc. in which the Company, through B&W, has an interest of approximately 42%. The appointment is to be effective on 5 December 2008.
