DIRECTORS' SHAREHOLDING
The Company was notified on 23 April 2002 by the independent trustee of the
British American Tobacco Partnership Share Scheme (the "Scheme") that on 19
April 2002 the following directors of British American Tobacco p.l.c had
purchased ordinary shares of 25p each in British American Tobacco p.l.c. (the "
Shares") at a price of 673p per Share as a result of the reinvestment of
dividends paid on Shares held under the Scheme.
