DIRECTORS' SHAREHOLDINGS

The Company was notified on 20 September 2002 by the trustee of the British
American Tobacco Partnership Share Scheme (the "Scheme") that on 20 September
2002 the following directors had purchased ordinary shares of 25p each in
British American Tobacco p.l.c. (the "Shares") by way of the Scheme at a price
of 730p per Share as a result of the reinvestment of dividends by the trustee.
