The Company was notified on 17 December 2004 that on the same day Mr P N Adams,
a Director of British American Tobacco p.l.c., sold 88,161 British American
Tobacco p.l.c. 25p ordinary shares (the "Shares") at a price of 889.5p per
Share.



Following this transaction, Mr Adams has a total beneficial and family interest
in 235,226 Shares (including 112,411 Shares under the Deferred Share Bonus
Scheme).
