British American Tobacco p.l.c. (the "Company") - Voting Rights and Capital
In conformity with the Transparency Directive's transitional provision 6, we
notify the market of the following:-
On 2 January 2007, the Company allotted a total of 336,937 ordinary shares of
25p each pursuant to the exercise of options under the British American Tobacco
Sharesave Scheme. Therefore, as of today, the Company's issued share capital
consists of 2,062,213,091 ordinary shares of 25p each with voting rights. At the
time of this announcement, no shares are held in treasury by the Company.
Of the 2,062,213,091 ordinary shares in issue, 604,336,627 are held by R & R
Holdings S.A. Pursuant to the Standstill Agreement dated 11 January 1999
entered into between the Company and R & R Holdings S.A. (then named Rothmans
International Holdings S.A.), Compagnie Financiere Richemont SA (then called
Compagnie Financiere Richemont AG) and Rembrandt Group Limited (together the R
and R Parties), the R and R Parties gave certain undertakings to the Company
including, inter alia, that the R and R Parties and persons acting in concert
with any of them will not exercise at any general meeting of the Company more
than 25 per cent of the voting rights attached to shares of a class carrying
rights to vote in all circumstances at general meetings of the Company (the "R&R
Voting Interest").
Therefore at the date of this announcement, the R&R Voting Interest comprises
515,553,272 ordinary shares, with R & R Holdings S.A. holding a further
88,783,355 shares over which they will not exercise voting rights.
Taking account of the R&R Voting Interest, the remaining voting rights are
exercisable over 1,457,876,464 ordinary shares in the Company (the "Voting
Rights Figure").
The Voting Rights Figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
voting rights interest in, or a change to that interest in, the Company under
the FSA's Disclosure and Transparency Rules.
