following number of shares of 25p each, at a price of 475.75 pence per share, in
the Company;

The shares allotted to Mr D A Higgs and Lord Burns were pursuant to their
standing instructions to receive shares as part satisfaction of their annual
directors' fees.  The shares allotted to Mr C Gibson-Smith were pursuant to his
standing instruction to receive shares as total satisfaction of his annual
director's fees.
