Non-Executive Directors

Further to the announcement of 31st May 2000, Mr Derek Higgs' and Lord Burns'
appointments as non-executive directors of the Company have taken effect from
14th July 2000. Mr Higgs and Lord Burns have also been appointed as members of
the Audit, Remuneration and Nomination Committees of the Board as of 14th July
2000.

Following Mr Simon's retirement on 14th July 2000 as a non-executive director
and Chairman of the Audit, Remuneration and Nomination Committees, Mr Michael
Cassidy has been appointed as Senior non-executive director and Chairman of
the Remuneration and Nomination Committees, and Mr Robert Swannell has been
appointed as Chairman of the Audit Committee.


Listing Rules Supplementary Information:

Lord Burns - current publicly quoted company directorships: non-executive
director of Legal and General Group plc and of Pearson plc.  He has no details
to be disclosed in respect of paragraphs 6 F 2 (b) to (g) of The Listing
Rules.

Mr Higgs - current publicly quoted company directorships: executive director
of Prudential plc and non- executive director of Egg plc; previous publicly
quoted company directorship: SG Warburg Group plc. He has no details to be
disclosed in respect of paragraph 6 F 2 (b) to (g) of The Listing Rules.
