RESULTS OF GENERAL MEETING
The Board of British Land announces the results of the poll taken at the General Meeting of the Company held earlier today to approve the Company's proposed Joint Venture with the Blackstone Group L.P.
Votes (including votes withheld) were cast for a total of 551,047,860 ordinary shares of the Company, representing 64.16 per cent. of the total number of votes capable of being cast at the meeting, of which 99.6% of votes were cast in favour of the proposed Joint Venture.

That the Proposed Transaction be and is hereby approved on the terms and conditions of the Principal Transaction Documents as described in the Circular and the Directors of the Company (or any duly authorised committee thereof) be and are hereby authorised to do all such acts and things on behalf of the Company and/or the Group as they may in their absolute discretion consider necessary or desirable in order to implement and complete the Proposed Transaction in accordance with the terms and conditions of the |Principal Transaction Documents and carry out the transactions contemplated thereunder (including the implementation and completion of any transactions to be effected upon the termination of the Joint Venture for any reason or on an earlier default under the terms and conditions of the Principal Transaction Documents or on an exit prior to such termination), subject to such immaterial modification, variation, revision, waiver or amendment thereto as the Directors of the Company (or any duly authorised committee thereof) may in their absolute discretion think fit. |
