Directors' Dealings and Exercise of Options

Brooks Macdonald Group plc ("Brooks Macdonald" or the "Company") announces that, on 6 December 2012, a number of its employees exercised options over an aggregate 50,000 Ordinary Shares in accordance with the rules of the Company's Enterprise Management Scheme. Of these, the following directors of the Company exercised options over an aggregate 30,000 Ordinary Shares:

The Company also announces that, on 7 December 2012, certain directors of the Company purchased an aggregate 11,902 ordinary shares of 1p each in the Company ("Ordinary Shares") representing a total of approximately 0.09% of the Company's shares in issue, as follows:

Pursuant to the above exercise of options, the Company has made application to the London Stock Exchange for 50,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 14 December 2012.

Following this notification, the Company has 13,274,958 Ordinary Shares in issue.
