Exercise of Options

·      2011 Barclays Sharesave Scheme ("Sharesave Scheme")

The Company received notice that on 11 November 2014, an employee exercised options over 985 ordinary shares of 1p each in the Company, in accordance with the rules of the Sharesave Scheme Pursuant to the exercise of these options, the Company has made an application to the London Stock Exchange for 985 new ordinary shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 18 November 2014.

Following this notification, the Company has 13,593,435 ordinary shares in issue.

·      Long Term Incentive Scheme ("LTIS")

The Company has also received notice yesterday that certain directors have exercised share options in accordance with the rules of the 2010 and 2011 LTIS schemes,   

No new ordinary shares have been issued to satisfy the LTIS awards. Following the exercise of options by the below mentioned directors, and other LTIS award holders, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 81,569 ordinary shares to satisfy the awards. Following this transfer the EBT now holds 217,627 ordinary shares, representing 1.6% of the Company's current voting rights.

Nick Holmes, Simon Wombwell, Andrew Shepherd and Simon Jackson have today sold the number of shares set out below at an average price of 1347.3 pence per share:
