Update on acquisition and exercise of Options

Update on acquisition of DPZ Capital Limited:

As announced on 14 April 2014, as part of the upfront consideration for the entire issued share capital of DPZ Capital Limited the Company would issue new ordinary shares of 1 penny each ("Ordinary Shares") at a value of £2.7m. Following the finalisation of the terms of the upfront consideration the Company will issue 158,032 Ordinary Shares.

Exercise of Options:

The Company has received notice that, on 11 June 2014, a number of its employees exercised options over an aggregate 46,580 Ordinary Shares in accordance with the rules of the 2011 Sharesave Scheme.

As part of the exercise the following directors will receive shares in the Company.

*Please note that the reported holding of Nick Holmes in the announcement dated 28 May 2014 was incorrect. The above holding is the correct figure.

Pursuant to these transactions, the Company has made an application to the London Stock Exchange for 204,612 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 19 June 2014

Following this notification, the Company has 13,584,434 Ordinary Shares in issue.
