F&C US Smaller Companies plc - Change of Investment Manager

Appointment of Jupiter Asset Management Limited as investment manager, change in company secretary and administrator and change of registered office

Following the announcement on 21 October 2013 regarding the change of employment of Mr Robert Siddles, the Company's portfolio manager, from F&C Management Limited ("F&C") to Jupiter Asset Management Limited ("Jupiter"), the board of Directors of F&C US Smaller Companies plc ("the Company") is pleased to confirm the appointment of Jupiter as investment manager to the Company with effect from Friday, 21 February 2014.

The management arrangements with F&C have been terminated with effect from the date of appointment of Jupiter.   The investment management fee arrangements under the new appointment will be the same as with F&C.

The Company has also appointed Jupiter to act as Company Secretary and it has appointed JP Morgan Chase Bank, NA ("JPM") as administrator with effect from Friday, 21 February 2014, both in place of F&C.   JPM already acts as the Company's custodian.

The registered office of the Company will be changed to 1 Grosvenor Place, London SW1X 7JJ with effect from Friday, 21 February 2014.   The Company's new website will be www.jupiteronline.com.

Shareholders in F&C's savings plans will have received letters informing them of their options, including the ability to transfer to Jupiter, thereby retaining the benefit of Robert Siddles' services.   Jupiter has offered to meet the costs of such transfer.
