Total Voting Rights and Share Capital


In conformity with the Transparency Directive's transitional provision 6, F&C US
Smaller Companies PLC is required to notify the market of the following:

F&C US Smaller Companies PLC issued share capital consists of 22,507,585
ordinary shares with a nominal value of 25 pence each, with voting rights.  F&C
US Smaller Companies PLC does not hold any shares in Treasury.

Therefore, the total number of voting rights in F&C US Smaller Companies PLC is
22,507,585.

The above figure of 22,507,585 shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, F&C US
Smaller Companies PLC under the Financial Service Authority's Disclosure and
Transparency Rules.
