Director Shareholding

The company has been informed that, as a result of the sale on 15th June 2001 of
69,458 shares of the company by the N Brown Group plc No.2 Employee Share
Ownership Trust ('the No.2 Trust') to a director of the company on exercise of
long term incentive share plan awards, and as a result of the purchase of 69,458
shares of the company by the Trustees of the No.2 Trust, the number of shares
held by the No.2 Trust, in which Mr Jim Martin (Chief Executive) and Mr Tim
Kowalski (Finance Director) together with other employees within the group, are
technically interested as potential beneficiaries, has remained at 286,331
shares.
