The compay has been informed that, as a result of the sale on 29 July 1999 of
2,222 shares of the company by the N Brown Group plc No.2 Employee Share
Ownership Trust ('the No.2 Trust') to a group employee on exercise of a long
term incentive share plan award, the number of shares held by the No.2 Trust, in
which Mr Jim Martin (Chief Executive) and Mr Tim Kowalski (Finance Director)
together with other employees within the group, are technically interested as
potential beneficiaries, has reduced to 467,154 shares.
The total consideration received for the sale referred to above was £1.
