'At the Annual General Meeting of The Brunner Investment Trust PLC held on
16th March 2000, a resolution was passed permitting the Company to buy back up
to 14.99% of its ordinary share capital. In the event that this authority
were to be fully utilised, the holding of Mr T B H Brunner and persons acting
in concert with him could increase from 33.06% of the issued ordinary share
capital of the Company to a maximum of 38.89%. Accordingly, a further
resolution was passed at the Annual General Meeting authorising this possible
percentage increase in the holding of Mr T B H Brunner and persons acting in
concert with him pursuant to the dispensation provisions of Rule 9 of the City
Code on Takeovers and Mergers.'
