Result of AGM and Completion of Placing

Byotrol plc, the developer of anti-microbial technologies, confirms that at its Annual General Meeting held earlier today, all resolutions were duly passed.

Accordingly, as set out in the announcement dated 25 June 2014, the Company is pleased to announce the expected completion, subject to Admission, of the placing (the "Placing") for cash by finnCap, acting as agent for the Company, of 38,666,667 new ordinary shares of 0.25 pence each ("Ordinary Shares") (the "Placing Shares") at 3 pence per Placing Share (the "Issue Price") and the subscription (the "Subscription") of 3,000,0001 new Ordinary Shares (the "Subscription Shares") at the Issue Price.

The Company intends to use the net proceeds of the Placing and Subscription to maintain the momentum generated by the Company to ensure it has the correct systems, procedures and approvals to capitalise on its inherent technological advantage. The Company also intends to invest further in sales and marketing efforts with the aim of securing further revenue across its business.

The Placing and Subscription Shares are expected to be admitted to trading on AIM at 8.00 a.m. on 30 July 2014. Following Admission the Company will have 225,034,769 Ordinary Shares in issue, all with voting rights. The Company does not hold any shares in treasury.

The above figure of 225,034,769 Ordinary Shares may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
