 Annual report 2009 and notice of 2009 annual general meeting

On 28 May 2009, Caledonia Investments plc ('Caledonia' or the 'Company') announced its final results for the year ended 31 March 2009 under RNS number 9038S. This announcement contained the regulated information in relation to annual financial reports required to be made public in unedited full text by Disclosure and Transparency Rule 6.3.5.

Caledonia now announces that it has posted to shareholders its full annual report and accounts for the year ended 31 March 2009 ('Annual Report 2009'), together with a circular containing the notice of its annual general meeting to be held on 23 July 2009 ('2009 AGM Circular'). Copies of each of these documents are also available on the Company's website at www.caledonia.com. 

In accordance with Listing Rule 9.6.1, two copies of the Annual Report 2009 and the 2009 AGM Circular have been submitted to the UK Listing Authority and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at:

At the annual general meeting to be held on 23 July 2009, it is proposed that new articles of association will be adopted, with effect from 1 October 2009, in order to update the Company's existing articles of association primarily to take account of further changes in English company law brought about by the final phase of the implementation of the Companies Act 2006, due to take effect on 1 October 2009. It is also proposed, with effect from 1 October 2009, to remove Caledonia's objects clause and all other provisions of its memorandum of association which, by virtue of the Companies Act 2006, are to be treated as forming part of the Company's articles of association. A summary of these proposed changes is set out in the 2009 AGM Circular and copies of the new articles of association and the Company's existing memorandum of association, black-lined to show the changes, will also available for inspection at the UK Listing Authority's Document Viewing Facility as above and at Caledonia's registered office.
