Annual report 2012 and notice of 2012 annual general meeting
On 24 May 2012, Caledonia Investments plc ("Caledonia" or the "Company") released its final results for the year ended 31 March 2012 under RNS number 9918D. This announcement contained the regulated information in relation to annual financial reports required to be made public in unedited full text by Disclosure and Transparency Rule 6.3.5.
Caledonia now announces that it has posted to shareholders its full annual report and accounts for the year ended 31 March 2012 ("Annual Report 2012"), together with a circular containing the notice of its annual general meeting to be held on 25 July 2012 ("2012 AGM Circular"). As explained in the 2012 AGM Circular, one of the resolutions to be proposed at the annual general meeting will be that the Company's existing articles of association be amended in order to remove the prohibition of the distribution as dividend of surpluses arising from the realisation of investments, to reflect the recent reform of the tax rules for investment trust companies.
Copies of the Annual Report 2012, the 2012 AGM Circular and the existing articles of association marked to show the proposed amendment ("Amended Articles") have been submitted to the National Storage Mechanism ("NSM") and will shortly be available for inspection at: www.Hemscott.com/nsm.do.
