Director/PDMR Shareholding Notification



Caledonia Investments plc ('Caledonia') announces that on 25 January 2007 Mrs M
B Buckley, the wife and therefore a connected person of Mr P N Buckley, the
Chairman of Caledonia, transferred 6,500 Caledonia ordinary shares, representing
0.01% of Caledonia's total issued ordinary share capital, to the trustees of the
Mary Buckley 2007 Discretionary Settlement ('Discretionary Settlement'), at a
price of £20.66p per share. Mr and Mrs Buckley are both trustees of the
Discretionary Settlement, a trust established for the benefit of their children,
grandchildren and remoter descendants. The transfer of these shares to the
Discretionary Settlement is a transaction requiring disclosure by Mr and Mrs
Buckley in accordance with DR 3.1.4R(1)(a).



Mr Buckley's total interests in Caledonia's ordinary shares following the above
transaction, as notified in accordance with section 324 (as extended by section
328) of the Companies Act 1985, are as follows:



  • Beneficial               596,500 shares              1.02%
  • Non-beneficial           306,201 shares              0.52%
  • Options                  130,000 shares              0.22%
  • Deferred bonus plan      15,973 shares               0.03%



The shares subject to the above transaction will be registered in the name of
Caytrust Finance Company Limited.
