Results of Extraordinary General Meeting
The Board of Caledonia Investments plc ('Caledonia') is pleased to announce that
at the extraordinary general meeting ('EGM') and class meeting ('Class Meeting')
of Caledonia held this morning, the shareholders voted in favour of resolutions
required for the implementation of the proposed elective special dividend and
reduction of capital (the 'Special Dividend Proposals'), as detailed in the
circular sent to Caledonia's shareholders (the 'Circular'). These included a
resolution to waive the obligation of the Cayzer concert party to make a
mandatory offer that could arise on the implementation of the Special Dividend
Proposals which, as explained in the Circular, could in certain circumstances
result in percentage of the total voting rights represented by the Cayzer
concert party's current holding of 29,114,307 ordinary shares increasing to
approximately 50.5 per cent (although the Cayzer concert party has given
undertakings in that event to reduce its total voting rights to no more than
49.9 per cent).
The principal outstanding condition to the implementation of the Special
Dividend Proposals is the Court approving the reduction of capital by Caledonia.
The Court hearing is scheduled to be held on 12 July 2006 and the payment of the
Special Dividend is expected to be made as soon as practicable thereafter.
The Board of Caledonia is also pleased to announce that, at the EGM, resolutions
enabling Caledonia to make market purchases of its own shares without triggering
a general offer to all shareholders by the Cayzer concert party were duly
passed. This is subject to the aggregate interests of the Cayzer concert party
not, as a consequence of such market purchases, exceeding 49.9 per cent of
Caledonia's total voting rights.
Accordingly, each resolution proposed at the EGM and the Class Meeting was
passed.
