Section 198
On 4th October 1999 the High Court sanctioned the Scheme of Arrangement which
was approved by shareholders of Camellia Plc and Lawrie Group Plc on 15th July
1999, and the Scheme became effective on 11th October 1999, on which day,
Camellia Plc allotted 371,730 new ordinary shares of 10p each to Scheme
Shareholders. Accordingly, the revised percentages, in the ordinary shares of
Camellia Plc of the undernoted shareholdings are:

Section 163(3)
In accordance with paragraph 15.9 of the Listing Rules Camellia Plc purchased
on 12th October 1999, for cancellation, 286 ordinary shares of 10p each at
£32.50 per share.
