At the meeting of Directors immediately following the Shareholders' Meeting, E
Louise Morgan was re-elected Chairman and Michael A. Smedley was re-elected
President.  Colin D. Smith and Frank Fuernkranz were re-appointed
Secretary-Treasurer and Assistant Treasurer, respectively.

At the same meeting of Directors, the following were appointed to the Audit
