Issue of Shares
Consistent with the Company's previous announcements regarding the issue of ordinary shares in lieu of certain directors' salaries and contractor payments, and in line with the Company's ongoing strategy to preserve its cash resources, CAP-XX announces that it has today issued 2,186,612 ordinary shares of no par value in the Company ("New Ordinary Shares"), in lieu of a consultant's project management and consultancy fees related to the Company's installation of the production lines which it acquired from Murata Manufacturing Co., Ltd of Japan. The New Ordinary Shares have been issued at a price of 3.571p, representing the daily volume weighted average price between 5 May 2020, being the date on which the project management commenced and 19 August 2020 when the scope of works was successfully completed.
Application will be made for the New Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 3 September 2020. Following Admission, the Company's issued share capital will consist of 442,115,811 ordinary shares of no par value. The above figure (442,115,811) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
