CAP-XX Limited, a world leader in the design and manufacture of supercapacitors and energy management systems, announces that at the Company's Annual General Meeting ("AGM") held earlier today, the results of the resolutions put to shareholders are as follows:-
Resolution 1 :- Re-election of Director - Mr Bruce Grey.
This resolution was not supported by the shareholders and Bruce has ceased to be a Director of the Company as at the close of the AGM. Given this result, where it is able to, the Board will seek to engage with those shareholders who are understood to have voted against Resolution 1, to understand their views and/or any specific concerns. The Directors are reviewing the short to medium term composition of CAP-XX's Board and the market will be updated when further decisions have been made.
Based on the initial advice received, under the Board's existing composition, the Board understands that it is able to continue to run and operate the Company in the normal way. However, the Board will need to appoint Directors who are Australian residents as a matter of importance.
Resolution 2 :- Dilution Policy - re-set the date
This resolution has been passed and the Dilution Policy date has been reset to today's date.
