Pursuant to Capita's various share option schemes, options over 10,735,055
ordinary shares of 2p each have been exercised over a number of years and not
yet listed. Accordingly, application has been made to the UK Listing Authority
and the London Stock Exchange for 10,735,055 ordinary shares to be admitted to
the Official List. These shares rank pari passu with the existing issued shares
of the Company.

It is expected that admission will take place and dealings will commence in
these shares on Monday 25 February 2002.
