                            Application for Listing


Application has been made to the UK Listing Authority and the London Stock
Exchange for 648,311 Capita ordinary shares of 2 pence each to be admitted to
the Official List. These shares have been issued as deferred consideration under
the terms of the acquisition by Capita of Edward Roscoe Associates which was
announced on 15 December 1999.

These shares will rank pari passu with the existing ordinary shares of Capita
and it is expected that dealings will commence in these new shares on 23 April
2002.
