                            Application for Listing


Application has been made to the UK Listing Authority and the London Stock
Exchange for 36,589 Capita ordinary shares of 2 pence each to be admitted to the
Official List. These shares have been issued as deferred consideration under the
terms of the acquisition by Capita of MPM Adams which was announced on 7 May
1999.

These shares will rank pari passu with the existing ordinary shares of Capita
and it is expected that dealings will commence in these new shares on 21 June
2002.
