Application has been made for 20 ordinary shares of 2p ('Ordinary Shares') each
in the Capita Group Plc (the 'Company') to be admitted to the Official List of
the UK Listing Authority and to trading on the London Stock Exchange. The shares
will be issued fully paid and will rank pari passu in all respects with the
existing issued ordinary shares of the Company.
The shares are being issued to ensure that a whole number of shares are in issue
following the Company's consolidation of its Ordinary Shares in connection with
the payment of the special dividend approved by shareholders on 6 September. The
Consolidation is expected to be effected over the forthcoming weekend with
shareholders on the register at 4.30pm on 14 September receiving 30 shares for
every 31 held at that time.
