Director's Dealing

The Capita Group Plc has been notified that on 1 March 2005, Rod Aldridge,
Executive Chairman of the Company, transferred 550,000 Ordinary Shares he held
in the Company to The Trustees of the Rodney Aldridge Charitable Trust (of which
he is a trustee), for a nil consideration.

Following the transfer, Mr Aldridge holds 17,244,000 Ordinary Shares
beneficially in The Capita Group Plc representing 2.59% of the issued share
capital of the Company, and 550,000 Ordinary Shares non-beneficially through the
Rodney Aldridge Charitable Trust representing 0.08% of the issued share capital
of the Company.
