                      The Capita Group PLC (the 'Company')
                Results of Extraordinary General Meeting ('EGM')


At the Capita Group EGM held this morning at 11.00 a.m., the resolution to
approve the Company's long term indexed share appreciation scheme was passed by
shareholders.


In addition, the resolution giving the Company authority to make market
purchases of up to 10 per cent of the Company's share capital was also passed by
shareholders.
