THE CAPITA GROUP PLC
At a Board meeting at the above named company held on Tuesday, 2 May 2000 it
was resolved to allot 38,132 Ordinary 2p shares as deferred consideration
payable under the terms of the acquisition of Tozer Gallagher in 1998.
These shares rank pari passu with the existing issued Ordinary shares.
Application for listing will be made to the London Stock Exchange.
