Completion of Share Consolidation
As described in the Prospectus published by the Company on 7 November 2019 and following the announcement on 26 November 2019 that shareholders had approved the consolidation of every ten Ordinary Shares of 1 pence each into one ordinary share of 10 pence each (the "Consolidation"), Capital & Regional is pleased to announce that the Consolidation has become effective.
The Consolidation has resulted in 103,884,038 ordinary shares of 10 pence each (the "New Consolidated Ordinary Shares") being in issue, such New Consolidated Ordinary Shares having the same rights and being subject to the same restrictions as ordinary shares in issue prior to the Consolidation. The Company has made applications for the New Consolidated Ordinary Shares to be admitted to the Premium Segment of the Official List of the United Kingdom Listing Authority and to trading on the London Stock Exchange's Main Market for listed securities ("LSE") and to be listed on the Johannesburg Stock Exchange ("JSE") ("Admission"). It is expected that Admission will occur today, 15 January 2020.
The New Consolidated Ordinary Shares will trade from today on the LSE and the JSE under the new International Securities Identification Number code (ISIN) of GB00BL6XZ716.
For UK shareholders, those holding ordinary shares in CREST on the record date of 14 January 2020 for the Consolidation will have their CREST accounts credited with the New Consolidated Ordinary Shares on 15 January 2020. Replacement share certificates for UK certificated shareholders will be issued to certificated holders within 14 days of Admission.
For South African shareholders, dematerialised shareholders' accounts at their CSDP/broker will be updated on 20 January 2020 to reflect the New Consolidated Ordinary Shares to which they are entitled under the Consolidation as at 17 January 2020, being the record date in South Africa for the Consolidation. Replacement share certificates for South African certificated shareholders will be issued on 20 January 2020 provided that old share certificates have been lodged with the South African transfer secretaries by 12.00 p.m. on 20 January 2020. Share certificates received after this time will be posted within 5 business days of receipt.
Following the Consolidation, the total number of shares in issue and voting rights in Capital & Regional is 103,884,038. No New Consolidated Ordinary Shares are held in treasury. The figure of 103,884,038 may be used by shareholders and others as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the share capital of the Company under the UK Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
