NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 17 June 2015, Capital & Regional plc (the Company) received notification that PDI Investment Holdings had transferred 3,528,364 ordinary shares in the Company to Tassei Limited and 3,445,859 ordinary shares to Vidna Holdings Limited.  The transactions completed on 16 June 2015 at a price of 55.75p per share.

Louis Norval has a beneficial interest in PDI Investment Holdings.  Tassei Limited and Vidna Holdings Limited are connected parties of Louis Norval but he does not have a beneficial interest in either entity.  Following this transaction the beneficial interest of Louis Norval in ordinary shares of the Company is 194,599,014.    

Of the above entities the following are those that hold over 3% of the Company's issued share capital following the transactions:
