                     RETIREMENT OF NON-EXECUTIVE DIRECTOR


As announced in the 2003 preliminary results, Peter Duffy, a non-executive
director, retired from the Board on Friday 11 June 2004 after 9 years of
service.


Capital & Regional would like to thank Peter for his enormous contribution to
the Group over the past 9 years and extend its warmest wishes to him for the
future.
