CAIRN ENERGY PLC ("Cairn" or "the Company")

Interests of Directors / Persons Discharging Managerial Responsibility ("PDMRs")

in the Company's Shares

1.         Release of Shares under the Company's Long Term Incentive Plan 2006 ("the 2006 LTIP")

Cairn announces that, on 19 January 2011, it was notified by the Trustee of the Company's Employees' Share Trust ("the Trust") that a total of 898,738 Ordinary Shares were released by the Trust on 19 January 2011 to the Executive Directors and a PDMR of the Company under the 2006 LTIP. The shares were released following expiry of the one year withholding period in respect of awards with a performance period commencing on 9 January 2007.
