Interests of Directors / Persons Discharging Managerial Responsibility ("PDMRs")
in the Company's Shares
At a General Meeting held on 30 January 2012 the Company received shareholder approval for the return of approximately $3.5 billion of cash to shareholders to be implemented by way of a "B Share Scheme" (the "Return of Cash"), together with an associated share capital consolidation pursuant to which each shareholder received 13 New Ordinary Shares of pence each for every 33 Existing Ordinary Shares of pence they held (the "Share Capital Consolidation").
The impact of the Share Capital Consolidation (which became effective at 8.00 a.m. today) on the directors' / PDMRs' beneficial interests in the share capital of the Company is shown in the table below.
