Extraordinary General Meeting
At an extraordinary general meeting of the company held today, the resolution placed before the meeting in respect of the renewal of approval of waiver under Rule 9 of the City Code on Takeovers and Mergers was approved. The result of the poll was 630,391 votes for; 534 votes against; and nil withheld.
Accordingly, Mr J R Wollenberg and persons deemed to be acting in concert with him under the City Code (the 'Concert Party'), may, as a result of market purchases by the Company of up to 249,734 Ordinary Shares in the capital of the Company pursuant to the authority granted at the Company's AGM also held today, increase their aggregate interest to 37.55 per cent of the voting rights of the Company and 38.85 per cent of the voting rights of the Company if J R Wollenberg exercised options over 30,000 Ordinary Shares previously granted between 16 March 1999 and 14 January 2003. The Concert Party currently holds 531,886 Ordinary Shares and if the options are exercised will hold 561,886 Ordinary Shares.
