Carillion plc (the Company) - Annual General Meeting 12 May 2004 

It is confirmed that all of the resolutions put to the Company's shareholders
at the AGM held yesterday were passed.

In accordance with paragraph 9.31(b) of the Listing Rules, copies of the special
