          Interests of Persons Discharging Managerial Responsibilities

Carillion plc (the Company) was notified yesterday, Wednesday 7 September 2005,
that the Carillion plc Employee Share Ownership Trust (the Trust) on 7 September
2005 transferred 2,706 Carillion plc ordinary shares of 50p each (less than
0.01% of the issued share capital) pursuant to the exercise of options under the
Carillion Sharesave Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 3,917,696
(1.826% of the issued share capital).

Persons discharging managerial responsibilities have an interest in these shares
as potential beneficiaries under the said Trust.
