Deferred Bonus Plan and Carillion plc Employee Share Ownership Trust (the Trust)
The following Persons Discharging Managerial Responsibilities (PDMRs) were
granted awards on 7 April 2006 under the Carillion Deferred Bonus Plan (the
Plan) over the following number of shares:-

Chris Girling, Executive Director 26,549
Don Kenny, Executive Director 6,400
Staff Engstrom, Strategy Director 4,641
Richard Tapp, Company Secretary 5,660
Susan Morton, Group HR Director 5,105
For the purposes of the Plan, the shares were held in the Carillion plc Employee
Share Ownership Trust (the Trust) for 12 months before being transferred to the
PDMRs.
Of these shares, the following were sold on 23 April 2007 at a price of
£4.194474 per share in order to meet the tax liability:

In addition, the following shares were sold on 23 April 2007 at a price of

Mr. Kenny met the tax/NI liability from his own resources.
Where applicable, the balance of the shares remaining following these
transactions were transferred to PDMRs on 24 April 2007.
The total number of Carillion shares now held by each of these PDMRs following
this transaction is as follows:
