Deferred Bonus Plan and Carillion plc Employee Share Ownership Trust (the Trust)


The following Persons Discharging Managerial Responsibilities (PDMRs) were
granted awards on 8 April 2005 under the Carillion Deferred Bonus Plan (the
Plan) over the following number of shares:-

Roger Robinson, Construction Services Director                          18,870
Adrian Bull, MD Carillion Health                                        10,000
Richard Tapp, Company Secretary                                         10,725
Susan Morton, Group HR Director                                          3,967

For the purposes of the Plan, the shares had to be held in the Carillion plc
Employee Share Ownership Trust (the Trust) for 12 months before being
transferred to the PDMRs.

Of these shares, the following were sold on 27 April 2006 at a price of £3.25
per share in order to meet the tax/NI liability:

In addition, the following shares were sold on 27 April 2006 at a price of £3.25

Mr. Robinson met the tax/NI liability from his own resources.

Where applicable, the balance of the shares remaining following these
transactions were transferred to PDMRs on 2 May 2006.

The total number of Carillion shares now held by each of the PDMRs following
this transaction is as follows:
