                              Deferred Bonus Plan

The following Person Discharging Managerial Responsibility (PDMR) was granted an
award on 3 April 2007 under the Carillion Deferred Bonus Plan (the Plan) over
the following number of shares:-

For the purposes of the Plan, the shares had to be held in the Carillion plc
Employee Share Ownership Trust (the Trust) for 12 months before being
transferred to the PDMR.

These shares were subsequently transferred to Mr. Hurcomb on 4 April 2008.

The total number of Carillion Ordinary Shares of 50p each now held by Mr.Hurcomb
following this transaction is 11,141 shares (less that 0.01% of the issued share
capital).
