                              Deferred Bonus Plan

The following Persons Discharging Managerial Responsibilities (PDMRs) were
granted awards on 3 April 2007 under the Carillion Deferred Bonus Plan (the
Plan) over the following number of shares:-

For the purposes of the Plan, the shares were held in the Carillion plc Employee
Share Ownership Trust (the Trust) for 12 months before being transferred to the
PDMRs.

Of these shares, the following were sold on 7 April 2008 at a price of £3.8875
per share in order to meet the tax/NI liability:
